1. Acceptance of Terms & Binding Agreement
Welcome to Cognito Parental Control. These Terms of Service ("Terms") constitute a legally binding contract between you ("User", "Licensee", "Parent", or "Guardian") and Cognito Parental Control ("Cognito", "we", "us", or "our") governing your acquisition of the Cognito Family License and your use of our web dashboard, mobile software, Android IoT Client, and related services (collectively, the "Services").
By purchasing the one-time ₹999 lifetime license, downloading our software, or accessing the parent dashboard, you confirm that you have read, understood, and unconditionally agreed to be bound by these Terms. If you do not agree with any provision of these Terms, you must immediately cease all use of the Services and uninstall our software from all devices.
You represent and warrant that you are at least 18 years of age, or the age of legal majority in your jurisdiction, and possess the full legal capacity to enter into this binding agreement.
2. License Grant & Permitted Scope
Subject to your full compliance with these Terms and payment of the applicable ₹999 one-time fee, Cognito grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable lifetime license to install and execute the Cognito Android IoT Client software on devices owned by you or your minor dependents within your immediate family household.
Definition of Lifetime Access: "Lifetime" refers to the continuous operating lifespan of the Cognito software product and platform. Each license covers one active child device at a time, and the same license may be reused if that child device is replaced.
3. Strict Ethical & Lawful Use Mandate
Cognito is engineered strictly as an ethical child safety and parental guidance utility. You agree to use the Services strictly in accordance with all applicable local, state, national, and international laws and regulations.
Absolutely Prohibited Activities
Under no circumstances are you permitted to engage in any of the following activities. Violation of these restrictions will result in immediate, permanent license revocation without refund and potential reporting to law enforcement authorities:
- Unauthorized Surveillance: Installing Cognito on devices owned or operated by adult individuals (including spouses, employees, or partners) without their explicit, prior, informed, written consent.
- Stalking & Harassment: Utilizing the software to stalk, harass, intimidate, or track any individual against their will.
- Illegal Interception: Using the software to intercept communications or gather intelligence in violation of wiretap statutes, privacy laws, or data protection acts.
- Commercial Exploitation: Reselling, leasing, or offering Cognito as a commercial monitoring service to third parties.
You acknowledge and agree that Cognito assumes absolutely no liability for your improper, unethical, or unlawful deployment of the software. You bear the sole and exclusive legal responsibility for ensuring your use complies with the laws of your specific jurisdiction.
4. Intellectual Property Rights & Restrictions
All rights, title, and interest in and to the Services—including all underlying software algorithms, APK binaries, web dashboard designs, UI/UX workflows, graphics, trademarks, and trade secrets—are and shall remain the sole and exclusive property of Cognito and its licensors.
You shall not (and shall not permit any third party to): (a) decompile, reverse engineer, disassemble, or attempt to reconstruct or discover the source code of the software; (b) modify, translate, or create derivative works based upon the Services; (c) circumvent, disable, or defeat any security or licensing verification mechanisms within the software; or (d) remove or obscure any proprietary notices or copyright labels.
5. Disclaimers of Warranty (As-Is Basis)
THE SERVICES, SOFTWARE, AND ALL ASSOCIATED MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COGNITO EXPLICITLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COGNITO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR IMPERVIOUS TO THIRD-PARTY INTERFERENCE, NOR DOES IT GUARANTEE THAT ANY SPECIFIC TELEMETRY DATA WILL BE DELIVERED WITH ABSOLUTE INSTANTANEITY.
6. Limitation of Liability & Maximum Cap on Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COGNITO, ITS PARENT COMPANY, AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF COGNITO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:
- The use or inability to use the Services or software.
- Any unauthorized access to or alteration of your transmissions or family data.
- Any improper, unlawful, or unethical deployment of the software by you or third parties.
- Any service outages, device incompatibility, or operating system updates that disrupt software functionality.
Absolute Liability Cap
IN NO EVENT SHALL COGNITO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS, DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) EXCEED THE EXACT TOTAL AMOUNT PAID BY YOU TO COGNITO FOR THE SOFTWARE LICENSE, SPECIFICALLY CAPPED AT ₹999 (NINE HUNDRED AND NINETY-NINE INDIAN RUPEES). THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND COGNITO.
7. Indemnification
You agree to unconditionally defend, indemnify, and hold harmless Cognito, its parent corporation, affiliates, contractors, licensors, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and expert witness costs) arising out of or relating to: (a) your violation of these Terms or any applicable law; (b) your improper, illegal, or unauthorized use of the Cognito Android IoT Client or web dashboard; or (c) any claim that your deployment of the software infringed upon the privacy or legal rights of any third party.
8. Governing Law, Arbitration & Class Action Waiver
Governing Law: These Terms and any disputes arising out of or related to the Services shall be governed by, construed, and enforced in accordance with the laws of India, without regard to its conflict of law principles.
Binding Arbitration: Any controversy, claim, or dispute arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered by a sole arbitrator appointed mutually by the parties in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi, India, and the proceedings shall be conducted in the English language.
Class Action Waiver: YOU AND COGNITO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR CONSOLIDATED PROCEEDING.
9. Severability & Entire Agreement
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.
These Terms, together with our Privacy Policy, Refund Policy, and EULA, constitute the entire, complete, and exclusive agreement between you and Cognito regarding the Services, superseding all prior or contemporaneous oral or written agreements, representations, or understandings.
